This Sweepstakes is governed exclusively by the laws of the United States. You are not authorized to participate in the Sweepstakes if you are not located within the fifty (50) United States, the District of Columbia or in Puerto Rico.

1. DATES OF SWEEPSTAKES. Sweepstakes Program begins at 12:00:01 am Eastern Time (“ET”) on May 1, 2024 and ends at 11:59:59 pm ET on May 31, 2024 (the “Sweepstakes Period”).  
2. ELIGIBILITY. Sweepstakes is open only to legal residents of the fifty (50) United States, the District of Columbia or Puerto Rico, who are eighteen (18) years of age or older or the age of majority in their state of residence (which is nineteen (19) in Alabama, Nebraska, twenty-one (21) in Mississippi, and eighteen (18) in all other states) as of the date of entry (the “Entrant”). Void outside of the fifty (50) United States, the District of Columbia, Puerto Rico, and where prohibited, taxed or restricted by law. 

Officers, directors, managers, and employees of Fluz Fluz LLC (the “Sponsor”), and each of its respective parents, subsidiaries, affiliates and related companies and their respective advertising and promotion agencies, consultants and agents, as well as immediate family members and/or those living in the same household of each such person, and any others engaged in the development, production, execution or distribution of this Sweepstakes, (collectively the “Sweepstakes Entities”) are not eligible to participate. “Immediate family member” shall be deemed to mean husband, wife, children, mother, father, sister, sister in-law, brother or brother in-law. Sweepstakes may only be entered in or from the fifty (50) United States, the District of Columbia or Puerto Rico, and entries originating from any other jurisdiction are not eligible for entry. All federal, state and local laws and regulations apply.

Members enrolled in Fluz’s Power Business program are not eligible at this time.

3. HOW TO ENTER:

Fluz Usage – Entrants/Members will receive Sweepstakes entries based on their Membership Status.  The number of Entries earned by the member are determined by the Member’s status as of the time of app opening or Power Portal login.  The status must be attained in advance of opening the app or logging into the Power Portal.  Any Member Status will not be earned for additions or withdrawals to/from the Member’s Fluz Balance, peer to peer transactions, Boosts earned (but not applied to a transaction), customer service courtesy adjustments, the cash value of Sweepstakes earned during the Sweepstakes Period, or Fluz Royalty payments earned for activity by referred Members and/or a Member’s Fluz Network. The number of Entries earned by the member are determined by the Member’s status as of the time of app opening or Power Portal login.  The status must be attained in advance of opening the app or logging into the Power Portal.  

To earn a Sweepstakes entry for one (1) or more chance(s) to win the Prize, Entrants must have downloaded and completed registration in the Fluz App.  

The Entrant Member must have a valid Fluz Member account and have completed identify verification to quality for this Sweepstakes.  The Entrant Member must maintain a valid Fluz Account at the end of the Sweepstake Period.

To obtain a Membership Status, a Consumer App member must earn cashback and bonuses from the following activities only (“Membership Status Activities”):

• Purchases of (a) Gift Card(s), including “Fluz Party” promotions and any “Boosts” applied to the purchase
• (A) purchase(s) using the Fluz Virtual Debit Card
• Earning a $5 Invite Bonus for successfully referring a New Fluz Member
• Earning the $5 Account Setup Bonus 
• Earning a “Member Challenge” cash bonus as shown in the “Maximize” section of the Fluz App

The Entrant Member will earn entry/ies for each instance opening of the official Fluz App available from the Apple App and/or Google Play stores. Each app opening must be successfully completed, with the Entrant Member arriving on the App Home screen

There is a limit to the number of entries obtained by Fluz Usage per Entrant/Member for each calendar day during the Sweepstakes Period. A calendar day begins at 12:00:01 am ET and ends at 11:59:59 pm ET.  The Entrant/Member may earn up to the following number of entries per day based on their status as of 12:00:01 am ET on that calendar date:

• (i) General Member & Silver Member Status: three (3) entries
• (ii) Gold Member Status: six (6) entries
• (iii) Platinum Member Status: nine (9) entries
• (iv) Diamond Member Status: twelve (12) entries

(i) Fluz Usage for General App Members & Silver Member Status: one (1) entry per Fluz Login.

(ii) Fluz Usage for Gold Member Status:  two (2) entries per Fluz Login.

To earn Gold Member Status, Consumer Account Members must earn at least $0.01 USD in cashback and/or bonuses from the Membership Status Activities in the calendar month corresponding to the Sweepstakes Period and/or have done so in the prior calendar month.

(iii) Fluz Usage for Platinum Member Status: three (3) entries per Fluz Login.

To earn Platinum Member Status, Consumer Account Members must earn at least $25.00 USD in cashback and/or bonuses from the Membership Status Activities in the calendar month corresponding to the Sweepstakes Period and/or have done so in the prior calendar month.

(iv) Fluz Usage for Diamond Member Status:  four (4) entries per Fluz Login.

To earn Diamond Member Status, Consumer Account Members must earn at least $50.00 USD in cashback and/or bonuses from the  Membership Status Activities in the calendar month corresponding to the Sweepstakes Period and/or have done so in the prior calendar month.

1. Website Entry: To enter without attaining a Member Status, opening the Fluz app, or logging into the Power Business Portal, visit fluz.app/freeentry and provide your name, email address, and date of birth by completing and submitting the online form.  All electronic entries must be received by the end of the Sweepstakes Period. There is a limit of twelve (12) total entries per day per Entrant/Member including entries obtained by usage of Fluz.  Each electronic entry is considered one (1) entry into the Sweepstakes. Multiple entries submitted in excess of the limit or completed by anyone other than the Entrant are void. Electronic entries must contain all entry fields outlined above; otherwise, they are void and will not be eligible to win.

Any attempt by an Entrant/Member to obtain more than the stated number of entries by using multiple/different identities, and/or any other methods will void that Entrant/Member’s entry and that Member/Entrant may be disqualified from the Sweepstakes. Entries submitted by anyone other than the Entrant are void. In case of dispute as to the identity of any Entrant/Member, entry will be declared made by the registered name and address on such entry. Any potential prize winner may be requested to provide Sponsor with proof that such person is the prize winner.

Neither Sponsor nor any Sweepstakes Entity is responsible for any entry that is lost, late, illegible, stolen, mutilated, incomplete, invalid, unintelligible, misdirected or undeliverable, whether due to system errors, omissions, interruption, deletions, defects, delay in operations or transmissions, theft or destruction or failures, faulty transmissions or other telecommunications malfunctions, human error, entries not received resulting from any hardware or software failures of any kind, lost or unavailable network connections, failed, incomplete or garbled computer or telephone transmissions, typographical or system errors and failures, faulty transmissions, technical malfunctions, or otherwise. Only fully completed entries are eligible. Proof of submission will not be deemed to be proof of receipt by Sponsor or Sweepstakes Entity.

 

4. DRAWING/ODDS. On or about the third (3rd) calendar day of the calendar month following the Sweepstakes Period, potential prize winners will be selected in a random drawing from all eligible entries received via a third party selection service. By entering, Entrant Member agrees that Sponsor may disclose their full name and city/town of residence publicly.  Odds of winning depend on the number of eligible entries received for the Sweepstakes. By entering the Sweepstakes, Entrants fully and unconditionally agree to be bound by these Official Rules and the decisions of the Sponsor and Sweepstakes Entities, which will be final and binding in all matters relating to the Sweepstakes.

To be eligible to receive a prize, all Entrants must have a valid email address on file with the Sponsor or have provided an address when prompted at the time of entry. In the event that an Entrant has an incomplete address, the Entrant will be disqualified and an alternate prize winner will be selected in a random drawing.

5. PRIZE.  One (1) prize will be awarded per monthly Sweepstakes period, consisting of $1,000 USD provided to the selected winner via their Fluz Balance within the Fluz App or Fluz Power Business Portal.
6. PRIZE RESTRICTIONS: Limit of one (1) prize per person/household. All prizes are non-transferable or assigned and no substitutions or cash redemptions; except at Sponsor’s sole discretion or as otherwise provided herein. Sponsor will not replace any lost or stolen prizes. In the case of unavailability of any prize, Sponsor reserves the right to substitute a prize of equal or greater value. Each prize winner is solely responsible for all applicable federal, state and local taxes, including taxes imposed on his/her income. 

Prize winners must submit to Fluz, prior to distribution of the Prize, a valid and fully-completed United States Internal Revenue Service (IRS) Form W-9.  Potential winners must complete Know Your Customer (KYC) verification in the Fluz app in order to validate their identities to receive a prize.  There is no cost to complete KYC verification.  The value of the Prize will be reported to the United States Internal Revenue Service.  No more than the stated number of prizes set forth in these Official Rules will be awarded. Potential prize winners consent to the use of his/her name, likeness, biographical information, and voice in advertising worldwide without additional compensation.  Prize winner agrees to fully participate in the following activities in order to receive the Prize, hereinafter referred to as the “Publicity Requirements”:

• Submission of a recent, true and accurate, high-quality, high-resolution photograph of the Prize winner
• Submission of a statement of intended use of the Prize winnings of no fewer than 250 words for which the Sponsor shall retain full and complete editorial control and ownership
• Completion video-recorded winner testimonial of no fewer than twenty (20) minutes and no greater than sixty (60) minutes, during which Prize winner agrees to answer any and all questions and prompts to the best of their ability and for which the Sponsor shall retain full and complete editorial control and ownership
• Granting an irrevocable license to Sponsor to utilize any and all video, audio, photographic, and written submissions from Prize winner, including their likeness, voice, and written statements for Publicity purposes

(TN residents will not be required to sign a Publicity Release or participate in the Publicity Requirements  as a condition of winning a prize)

7. NOTIFICATIONS/CLAIMS. Potential Prize winners will be notified by email and/or phone on or about the sixth (6th) day of the calendar month following the Sweepstakes Period (the “Notification”). Grand Prize winners must respond to Notification within five (5) calendar days of the first Notification. In the event the Potential Prize Winner fails to respond to the Notification within 5 business days of the first Notification to the potential winner or if it is determined by Sponsor, in their sole discretion, that a potential Prize Winner is not eligible in accordance with these Official Rules, an alternate Prize Winner will be selected at random from among the remaining non-winning eligible entries received during the Sweepstakes Period. 

The Potential Grand Prize winner will be required to sign and return (except where prohibited) an Affidavit of Eligibility and Liability/Publicity Release and a W-9 tax form (the “Paperwork”) within five (5) calendar days of the Notification. If any Prize winner is considered a minor in his/her jurisdiction of residence (but must be over the age of 18), the Paperwork must be completed and signed by his/her parent or legal guardian and such Grand Prize will be delivered to minor’s parent/legal guardian and awarded in the name of parent/legal guardian.

After verification of the Affidavit, Grand Prize will be sent via the Fluz Balance feature within the Fluz App/Power Portal. Potential Prize Winner must return the Paperwork within the date and time indicated in the Notification. If a potential Prize winner fails to return the Paperwork within the date and time indicated in the Notification, or is found to be ineligible, or if he/she does not comply with the Official Rules, such potential Prize winner and his/her entry will be disqualified and another potential Prize winner will be selected from the remaining eligible entries received.  If the Notification is returned as undeliverable, this will result in disqualification and an alternate Grand Prize winner will be selected from all remaining eligible entries.

The value associated with the Prize is taxable as income and the Prize winner is solely responsible for any taxes, including, but not limited to all applicable federal, state and local taxes that become due with respect to the value of the Prize. The Sponsor must report the value of the Prize to the Internal Revenue Service in the year the Prize is received by the Prize winner and will be reported to the Prize winner and the Internal Revenue Service in the form of a Form 1099.

Prize winners will be provided with their Prize within one (1) weeks from receipt of the signed Paperwork.

8. CONDITIONS. This Sweepstakes is conducted in English. All federal, state and local taxes are the sole responsibility of the prize winners. By participating in this Sweepstakes, Entrants and prize winners agree to be bound by these Official Rules and the decisions of the Sponsor and Sweepstakes Entities, which are final in all respects and not subject to appeal. Sponsor reserves the right to disqualify permanently from this Sweepstakes any Entrant it believes has violated these Official Rules and verify eligibility of Entrants. Neither Sponsor nor anyone acting on its behalf will enter into any communications with any Entrant regarding this Sweepstakes, except as expressly set forth in these Official Rules. By participating in this Sweepstakes, Entrants, and prize winners release the Sponsor and each and all of the Sweepstakes Entities, from any and all liability, damages or causes of action (however named or described) with respect to or arising out of participation in the Sweepstakes, and/or the receipt or use/misuse of any prize awarded, including, without limitation, liability for personal injury, death or property damage. Failure to comply with these Official Rules may result in disqualification from the Sweepstakes. All Sweepstakes materials are subject to verification and are void if (a) not obtained in accordance with these Official Rules and through legitimate channels, (b) any part is counterfeited, altered, defective, damaged, illegible, reproduced, tampered with, mutilated or irregular in any way, (c) are obtained where prohibited, or (d) they contain printing, typographical, mechanical, or other errors. Entrants assume all risk of loss, damage, destruction, delay or misdirection of Sweepstakes materials submitted to Sponsor. In the event any portion of this Sweepstakes is compromised by activities beyond the control of the Sponsor which, in the sole opinion of the Sponsor, corrupt or impair the administration, security, fairness or proper play of the Sweepstakes or this Sweepstakes, Sponsor reserves the right at its sole discretion to modify, suspend or terminate the Sweepstakes. Winning a prize constitutes permission for Sponsor and its agencies to use prize winners’ names, addresses (city & state), voices and/or likenesses for purposes of advertising, promotion and publicity, for this Sweepstakes only, without further compensation, unless prohibited by law. Sponsor may prohibit an Entrant from participating in the Sweepstakes or winning a prize if, in its sole discretion, it determines that said Entrant is attempting to undermine the legitimate operation of the Sweepstakes by cheating, deception, or other unfair playing practices (including the use of automated quick entry programs) or intending to annoy, abuse, threaten or harass any other Entrants, Sponsor, or Sweepstakes Entities. If for any reason this Sweepstakes is not able to be conducted as planned, including, but not limited to, by reason of infection by computer virus, bugs, tampering, unauthorized intervention, fraud or any other causes beyond the reasonable control of Sponsor which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Sweepstakes, then Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Sweepstakes and randomly draw from those entries received up to the cancellation/suspension date to award prizes. 

 

CAUTION: ANY ATTEMPT BY A PERSON TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEY’S FEES) FROM ANY SUCH PERSON TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION. SPONSOR’S FAILURE TO ENFORCE ANY TERM OF THESE OFFICIAL RULES SHALL NOT CONSTITUTE A WAIVER OF THESE PROVISIONS.

9. NO LIABILITY: By participating, Entrants and prize winners agree to release, discharge, indemnify and hold harmless the Sponsor, the Sweepstakes Entities, and each of their respective officers, directors, employees, representatives and agents (collectively, the “Released Parties”) from and against any claims made by any Entrant, prize winner, or any other third parties, related in any way to the operation of this Sweepstakes as well as any other claims, damages or liability due to any injuries, damages or losses to any person (including death) or property of any kind resulting in whole or in part, directly or indirectly, from receipt, acceptance, possession, misuse or use of a prize or participation in any promotion related activity or participation in this Sweepstakes.

 

10. MANDATORY ARBITRATION.  This Agreement and the Fluz Giveaway Terms & Conditions (“Terms”) contained herein shall be governed by, construed and enforced in accordance with the laws of the State of New York, as it is applied to agreements entered into and to be performed entirely within such state, without regard to conflict of law principles.You agree that any all disputes, claims and causes of action relating to these Terms and/or the Privacy Policy, shall be resolved exclusively through binding confidential arbitration to take place in New York, New York, before a single arbitrator pursuant to the then-current arbitration rules of the American Arbitration Association available here: https://www.adr.org/.

You further agree that any arbitration by and between you and Fluz shall be conducted on an individual basis. You agree that you will not join your claim with any other person’s claim. You agree that no claim shall be brought as a mass action and, further, you agree that you will not file any claim in arbitration in a representative capacity whether on behalf of a putative class of claimants or otherwise. You understand and recognize that this is a class action waiver and your continued use of Fluz’s services constitutes a knowing and voluntary waiver of any right to bring a mass action or a class action against Fluz or any related company or individual.

Any award obtained in arbitration shall be final and conclusive upon the parties and a judgment thereon may be entered in the highest court of any forum, state or federal, having jurisdiction, provided, however, that the party that commences an action to enforce, vacate or otherwise modify an arbitration award shall not include any confidential information in such filing unless required to do so by applicable court rules and, if so required, shall take all reasonable actions to prevent the disclosure of such confidential information, including but not limited to moving for permission to make its initial filing under seal or filing a redacted version of its filing that omits such information. The parties to the arbitration will share equally the administrative costs of such arbitration proceedings. You agree to commence any arbitration proceeding with respect to these Terms within one year after the claim arises. You agree that a proceeding commenced after this date is barred.

If any provision of these Terms, or the application thereof to any person, entity or circumstances, is held invalid or unenforceable, then such provision shall be deemed superseded by a valid, enforceable provision that matches, as closely as possible, the original provision, and the other provisions of these Terms shall remain unaffected and in full force and effect. The failure of either party to insist upon strict performance of any provision of, or to exercise any right available under, these Terms shall not be construed as a waiver of any provision or right. Unless expressly provided otherwise, these Terms is the entire agreement between you and Fluz with respect to the use of the Services and shall not be modified except in writing, signed by an authorized representative of Fluz. All representations, warranties and indemnification obligations made or undertaken by you will survive any cancellation or termination of your account.

BY AGREEING TO THE ARBITRATION PROVISION STATED ABOVE, YOU ALSO HEREBY AGREE TO KNOWINGLY AND UNCONDITIONALLY WAIVE YOUR RIGHT TO A JURY TRIAL.

11. USE OF DATA. Sponsor will be collecting personal data about Entrants online, in accordance with its Privacy Policy. Please review the Sponsor’s Privacy Policy at https://fluz.app/privacy-policy/. By participating in the Sweepstakes, Entrants hereby agree to Sponsor’s collection and usage of their personal information and acknowledge that they have read and accepted Sponsor’s Privacy Policy.
12. WINNERS LIST. To obtain a list of Grand Prize Winners visit fluz.app/winwithfluz.  The list will be emailed to those that request it, so please make sure you include your email address.
