FAQs

How do I incorporate with Fluz?

You simply need to verify your account identity on your existing Fluz account and then fill out our application form.  We will only need you to select the company name and give us a brief description of what your company does.

You are able to pay Fluz for the company incorporation and Fluz will pay vState Filings on your behalf for this incorporation. Once the entity has been filed with the state of Wyoming, you will receive your company’s articles of incorporation, your Tax ID and EIN letter.

Who is vState Filings?

Fluz has a direction partnership with vState Filings. You are able to pay Fluz for the company incorporation and Fluz will pay vState Filings on your behalf for this incorporation.

vState Filings is a company that has helped businesses for over ten years with comprehensive document filing and corporate formations services.

What is the BOI and do I need it?

FinCEN (Financial Crimes Enforcement Network) BOI (Beneficial Ownership Information) filing requirement refers to the obligation for certain businesses to report information about their beneficial owners to FinCEN. This requirement is part of the US government’s efforts to combat money laundering, terrorism financing, and other financial crimes by increasing transparency in corporate ownership.

As of January 2022, certain types of businesses, including corporations, LLCs, and other similar entities, are required to report information about their beneficial owners to FinCEN. Beneficial owners are individuals who directly or indirectly own or control a significant portion of the business. Please note that regulations and requirements may change over time, so it’s important to verify the current requirements with authoritative sources or legal counsel.

What if I want other types of entities or other states?

Right now we only support Wyoming Single Member LLCs. We chose a single option in order to streamline the process for entity formation and maintenance. If you would like a different option, please feel free to reach out directly to our partner, vState Filings, and they can provide the full range of company formation options.

I do not live in Wyoming, can I still file a Wyoming LLC?

Yes, you can still file for a Wyoming LLC even if you don’t live in Wyoming. Wyoming, like many states in the US, allows individuals from any state or country to form an LLC within its jurisdiction. This is often done because Wyoming has favorable laws for LLCs, including strong asset protection, privacy, and low fees. Many people choose to form an LLC in Wyoming even if they don’t live there because of these advantages. However, you will need a registered agent in Wyoming who can receive legal documents and official correspondence on behalf of the LLC within the state. Our yearly fee includes a registered agent.

What do I need to do to keep my company open after the first year?

After forming a single-member LLC in Wyoming, there are several steps you’ll need to take to keep it open and in good standing:

1. File Annual Reports: As mentioned earlier, you’ll need to file an annual report with the Wyoming Secretary of State’s office. This report typically includes basic information about your LLC and its members or managers. Make sure to file this report on time each year to avoid penalties. Fluz will automatically take care of this for you, if you choose to maintain the company with us.

2. Pay Annual Fees: Along with the annual report, you’ll likely need to pay an annual fee to the state of Wyoming to maintain your LLC’s registration. The fee amount can vary, so be sure to check with the Secretary of State’s office for the current fee schedule. Fluz will automatically take care of this for you, if you choose to maintain the company with us.

3. Maintain a Registered Agent: Your LLC is required to have a registered agent in Wyoming who can receive legal documents and official correspondence on behalf of the LLC within the state. Make sure to keep your registered agent information up to date with the Secretary of State’s office. Fluz will automatically take care of this for you, if you choose to maintain the company with us.

4. Comply with Tax Requirements: Ensure that you comply with all federal, state, and local tax requirements for your LLC. This may include obtaining an EIN (Employer Identification Number) from the IRS, filing annual tax returns, and paying any applicable taxes.

5. Keep Records and Minutes: It’s important to maintain accurate and up-to-date records for your LLC, including financial records, meeting minutes, and any other important documents related to the operation of your business.

6. Renew Business Licenses and Permits: Depending on the nature of your business, you may need to obtain and renew certain business licenses or permits at the state or local level. Make sure to stay compliant with all relevant licensing requirements.

By following these steps and staying compliant with state regulations, you can keep your single-member LLC in Wyoming open and in good standing. It’s also a good idea to consult with a business attorney or advisor to ensure that you’re meeting all legal obligations for your LLC.

Do I need to file an annual report each year?

Yes, if you have an LLC registered in Wyoming, you are required to file an annual report each year. Wyoming requires all LLCs to file an annual report to maintain good standing with the state. The annual report typically includes basic information about the LLC, such as its name, principal office address, and the names and addresses of its members or managers.

Failure to file the annual report on time can result in penalties and the eventual dissolution of the LLC. Therefore, it’s important to stay aware of the filing deadline and ensure that the report is submitted promptly each year to keep your LLC in compliance with Wyoming state law. Fluz will maintain your registered agent as part of your yearly fee.

What taxes do I have to pay for my company?

Fluz does not give tax advice. Please consult your tax advisor.

Who will be my registered agent?

VState Filings LLC will be your company’s registered agent. Fluz will not act as your registered agent. We are just here to help you get incorporated and stay up-to-date!
